I've had good luck with Password Gorilla, http://www.fpx.de/fp/Software/Gorilla/. It's written in TCL and is pretty easy to run on Linux, OS X and Windows.
By default it does remember the location of your password database, but it does have the option of turning this off. I believe that it meets the rest of your requirements as well.
